Scout Services, Inc., a Delaware corporation ("Scout," "Company," "we," "us," or "our") respects your privacy and is committed to protecting it through this Privacy Policy.

This Privacy Policy describes the types of information we may collect from you or that you may provide when you access or use the Scout website located at www.thescoutservices.com and any related applications, platforms, or services (collectively, the "Platform"), and our practices for collecting, using, maintaining, protecting, and disclosing that information.

This Privacy Policy applies to information we collect on the Platform, in email, text, and other electronic communications between you and the Platform, through mobile and desktop applications you download from the Platform, and when you interact with our advertising or applications on third-party websites and services if those applications or advertising include links to this Privacy Policy.

This Privacy Policy does not apply to information collected by us offline or through any other means, including on any other website operated by Scout or any third party, or by any third party, including Vendors or Customers you interact with through the Platform.

Information We Collect About You

We may collect several types of information from and about users of our Platform. Personal information may include your name, email address, phone number, company name, job title, billing and payment information, account credentials, communications you send to us, and any other information you choose to provide. We may also collect business and transaction information related to marketplace activity, including Vendor listings and profiles, product or service inquiries, transaction details between Users, communications between Users through the Platform, and procurement preferences or requirements. Users represent that they have the lawful right to upload, transmit, or share any personal information or other data provided through the Platform and that doing so does not violate applicable privacy or data protection laws. Vendors and Customers are independent parties and may act as independent controllers of information they obtain through the Platform. Once information is shared with another User through the Platform, that User becomes independently responsible for their handling of such information, and Scout is not responsible for how such Users use or process that information. In addition, we automatically collect certain technical and usage data, such as IP address, browser type, device information, operating system, access times, pages viewed, referring URLs, and Platform interaction data. The Platform may use functional cookies, analytics cookies, and similar technologies to operate the Platform, understand usage patterns, and improve performance. Users may control certain cookie settings through their browser preferences.

How We Collect Information

We collect information directly from you when you register, use the Platform, or communicate with us. We also collect information automatically as you navigate and interact with the Platform. We may receive information from third parties such as Vendors, Customers, service providers, analytics providers, and payment processors.

Payment information related to transactions conducted through the Platform may be processed by third-party payment processors. Scout does not store full payment card information and relies on such processors to handle payment transactions in accordance with their own privacy and security practices.

How We Use Your Information

We use information we collect to provide, operate, and maintain the Platform; facilitate connections and transactions between Users; create and manage user accounts; process payments and fees; communicate with you about the Platform; respond to inquiries and support requests; improve and develop Platform features; monitor usage and security; enforce our Terms of Use; comply with legal obligations; and protect the rights, property, and safety of Scout, Users, and others.

Scout may use aggregated, anonymized, or de-identified data derived from Platform activity to develop analytics, benchmarking tools, pricing insights, artificial intelligence models, and other improvements to the Platform.

Disclosure of Your Information

We may disclose personal information to other Users as necessary to facilitate marketplace interactions or transactions. We may disclose information to service providers that support our operations, including hosting, payment processing, analytics, and communications providers, as well as to affiliates and business partners. In the context of marketplace interactions, Vendors and Customers may independently collect, store, and process information shared through the Platform. Scout does not control how such parties use information once it has been shared with them. We may disclose information to comply with legal obligations, court orders, or law enforcement requests; to enforce our Terms of Use or other agreements; to protect rights, safety, or property; or in connection with a merger, acquisition, financing, or sale of assets. Personal information may also be transferred as part of a merger, acquisition, financing, restructuring, or sale of all or a portion of Scout's assets. We may also disclose information with your consent. Scout does not sell or share personal information as those terms are defined under applicable privacy laws.

SMS Privacy and Your Choices

Mobile phone numbers and SMS opt-in consent are not sold or shared with third parties or affiliates for their marketing purposes. We may use service providers only as needed to operate our communications and services. When you expressly opt in, Scout Services, Inc. may use your mobile phone number to send recurring text messages about Scout product demos, procurement services, and customer support. Message frequency varies. Message and data rates may apply.

Data Security

We implement reasonable administrative, technical, and physical safeguards designed to protect personal information from unauthorized access, use, alteration, or disclosure. However, no internet transmission or storage system can be guaranteed to be completely secure. In the event of a data security incident affecting personal information, Scout will provide notice as required by applicable law.

Data Retention

We retain personal information for as long as necessary to provide the Platform, comply with legal obligations, resolve disputes, and enforce agreements. In certain circumstances Scout may act as a data processor or service provider on behalf of Customers who use the Platform. In such cases Scout processes personal information solely in accordance with the instructions of the applicable Customer.

Your Choices and Rights

You may access and update certain account information through your account settings. You may request deletion of your account or opt out of marketing communications by contacting us. You may also disable cookies through your browser settings. Residents of certain states, including California, Virginia, Colorado, and others, may have specific privacy rights under applicable state privacy laws. These rights may include the right to request access to personal information, request deletion, correct inaccurate data, or opt out of certain data processing activities. Scout will respond to such requests in accordance with applicable law.

Third-Party Links and Services

The Platform may contain links to third-party websites or services, including Vendors. Scout is not responsible for the privacy practices of third parties. Users interact with Vendors and Customers at their own discretion and subject to those parties' own privacy policies and terms.

Children's Privacy

The Platform is not intended for individuals under 18 years of age, and we do not knowingly collect personal information from children.

International Users

The Platform is operated in the United States. If you access the Platform from outside the United States, your information may be transferred to and processed in the United States, where data protection laws may differ from those in your jurisdiction.

Changes to This Privacy Policy

We may update this Privacy Policy from time to time. Changes are effective when posted. Your continued use of the Platform after any changes are posted constitutes acceptance of the updated Privacy Policy.
